The Board of LIVECHAT SOFTWARE SA (“Company”, “Issuer”) announces that on 18 March 2016, the Company received a notification about exceeding by the funds managed by Copernicus Capital TFI SA (“Fund”) of the 15% threshold of votes in the share capital and the total number of votes at the General Meeting of the Issuer.
The notification made in accordance with Art. 87. 1 point 2 A and in conjunction with Art. 69. 1 point 1 of the Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading and Public Companies (the “Act”).
Copernicus Capital TFI is acting on behalf of the funds managed thereby: FULCRUM FIZ, FALCON FIZ and NAPOLEON FIZ.
Copernicus Capital TFI reported that the exceeding of the threshold occurred in connection with the acquisition by the fund FULCRUM FIZ of the shares of the Company on 14 March 2016.
As a result, the fund Fulcrum FIZ acquired 200,000 shares of the company representing 0.78% of the share capital and entitling to a similar number of votes at the General Meeting. The transaction was carried out outside the regulated market.
Before the transaction, the funds managed by Copernicus Capital TFI had held a total of 3,691,199 shares of the Issuer, representing 14.33% of the share capital and giving the right to 3,691,199 votes at the General Meeting. Including:
- the fund Fulcrum FIZ directly held 2,261,047 shares of the Issuer, representing 8.78% of the share capital and entitling to a similar number of votes at the General Meeting;
- the fund Falcon FIZ fund held 497,134 shares of the Company representing 1.93% of the share capital and entitling to 497,134 votes at the General Meeting;
- the fund Napoleon FIZ fund held 933,018 shares of the Company representing 3.62% of the share capital and entitling to 933,018 votes at the General Meeting.
After the transaction, Fulcrum FIZ directly holds 2,461,047 shares representing 9.56% of share capital and entitling to a similar number of votes at the General Meeting.
The holdings of Napoleon FIZ and Falcon FIZ have not changed. In total, the funds managed by Copernicus Capital TFI have, as a result of the transaction, 3,891,199 shares of the Company, representing 15.11% of the share capital and entitling to 15.11% of votes at the General Meeting.
According to the notification, there are no other investment funds managed by Copernicus Capital TFI than those specified which hold shares of the Company.
