The Management Board of LiveChat Software S.A. based in Wrocław ("Company") informs thaton October 28, 2020, it received from the Company's shareholders: (i) Mariusz Ciepły, acting on his behalf and as a party to the joint voting agreement concluded between Mariusz Ciepły, Urszula Jarzębowska, Jakub Sitarz, Maciej Jarzębowski, Szymon Klimczak and Krzysztof Górski, i.e. the agreement referred to in Art. 87 sec. 1 point 5 of the Act of July 29, 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies (the "Act" and "Understanding" respectively); and (ii) Maciej Jarzębowski (jointly the "Notifier") notifications submitted pursuant to Art. 69 sec. 1 point 2, art. 69 sec. 2 point 1 lit. and in connection with art. 69 sec. 1 and art. 87 sec. 1 point 5 in connection with art. 69 sec. 1 point 2, art. 69 sec. 2 point 1 lit. a and art. 69 sec. 2 point 2 of the Act.
According to the notifications received, as a result of the transfer of the Company's shares on October 28, 2020, as a result of the conclusion by the Notifiers of block transactions of the sale of a total of 1,287,500 shares of the Company as part of the accelerated book-building process:
(i) Mr. Mariusz Ciepły's share in the total number of votes at the Company's General Meeting decreased from 15.57% to 13.07%;
(ii) Mr. Maciej Jarzębowski's share in the total number of votes at the Company's General Meeting decreased from 11.69% to 9.19%; and
(iii) the total share of the parties to the Agreement in the total number of votes at the general meeting of the Company decreased from 46.90% to 41.90%.
